Represented Chevron Asia-Pacific Holdings Limited in its USD 100 million disposal of the fuel business in Thailand to Star Petroleum Refining Public Company Limited, a leading refinery operator within the Chevron group listed on the SET.

Represented TMB Bank Public Company Limited on the transfer of its bancassurance partnership from FWD to Prudential Life Assurance (Thailand) Public Company Limited and its entry into a strategic bancassurance partnership with Prudential Thailand covering both the TMB and Thanachart Bank networks for an initial term of 15 years from the beginning of 2021.

Represented TMB Thanachart Bank Public Company Limited on its acquisition of 10% of the total issued and outstanding shares in Thanachart Insurance and 10% of the total issued and outstanding shares in Thanachart Securities from the Bank of Nova Scotia Group in a transaction with an aggregate value in excess of THB 1.6 billion (approximately USD 48 million).

Represented Chubu Electric Power Thailand SPP B.V. (a Dutch subsidiary of JERA Co., Inc.) on the sale of its 47.6% shareholding in TAC Energy Co., Ltd., which owns and operates a portfolio of gas-fired and cogeneration power plants in Thailand, to Eastern Cogeneration Co., Ltd., a subsidiary company of the SET listed Eastern Power Group Public Company Limited.

Represented Navis Capital Partners on its bolt-on acquisition of a 70% interest in bubble tea brand Kamu Kamu, which trades as KAMU Tea, to Modulus Venture, a wholly owned subsidiary of PTT Oil and Retail Business.

Represented Tesco Public Company Limited on the USD 10.6 billion sale of its entire interest in its business in Thailand to C.P. Retail Development, a company held by various CP Group entities, which includes a portfolio of nearly 2,000 stores nationwide in Thailand.

Represented Starbucks Corporation on the USD 650 million sale of its Thailand retail business to, and entry into franchising licensing arrangements with, Coffee Concepts Thailand Co., Ltd. (a JV between Maxim’s Caterers Ltd. and Thai partner F&N Retail Connection Co., Ltd.).

Represented the financial advisors and underwriters on the THB 54 billion (approximately USD 1.63 billion) initial public offering and listing of PTT Oil and Retail Business Public Company Limited (OR) on the SET. The IPO comprised a public offering of shares in Thailand and outside Thailand, including to qualified institutional buyers in the U.S.

Represented the financial advisor and underwriters on the THB 39.55 billion (approximately USD 1.19 billion) initial public offering and listing of SCG Packaging Public Company Limited (SCGP) on the SET. The IPO comprised a public offering of shares in Thailand and a concurrent private placement outside Thailand.

Represented the underwriters on the THB 8.4 billion (approximately USD 254 million) initial public offering and share listing of Kerry Express (Thailand) Public Company Limited (KEX) on the SET. The IPO comprised a public offering of shares in Thailand and a concurrent offering outside Thailand pursuant to Reg S under the U.S. Securities Act of 1933, as amended.

Represented the underwriters in connection with the THB 48 billion (approximately USD 1.45 billion) initial public offering and listing on the SET of Asset World Corp Public Company Limited (AWC). The IPO and listing on the SET comprised a public offering of shares in Thailand and a concurrent private placement outside Thailand pursuant to Reg S under the U.S. Securities Act.
